Terms of Service for Onya

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. If you use Onya on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account.

You must notify us promptly at jasons147gta@gmail.com if you suspect unauthorised access. Administrators are responsible for managing their users, roles, client access, and permissions.

Onya provides software for managing client work, including tasks, schedules, client and contact records, timesheets, approvals, documents, reports, notifications, portals, and connected services. Its optional Gmail integration uses read-only access to flag important client or team emails that appear to need a response. Features may vary by account, role, configuration, or plan.

We may improve, modify, add, or remove features from time to time. We do not guarantee that every feature will always be available.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your lawful internal business purposes.

You must not:

• Use the Service unlawfully, fraudulently, or to harm another person.
• Attempt to gain unauthorised access to accounts, systems, data, or networks.
• Interfere with, overload, disrupt, or circumvent the Service or its security controls.
• Upload malware or content that infringes intellectual property, privacy, or other rights.
• Reverse engineer, copy, resell, sublicense, scrape, or commercially exploit the Service except where applicable law permits it.
• Use automated means to access the Service in a manner that creates excessive load or bypasses documented interfaces or limits.
• Use the Service to send spam, phishing messages, or other unsolicited or deceptive communications.

You retain ownership of information, files, records, and other content you submit to the Service ("User Content"). You grant us a limited licence to host, process, transmit, display, and back up User Content solely as necessary to provide, secure, maintain, and improve the Service.

You are responsible for ensuring that you have the rights and permissions needed to submit and process User Content, including personal information about clients, contacts, and staff. You are also responsible for the accuracy, legality, and retention of your records.

Our collection and handling of personal information is described in our Privacy Policy, which forms part of these Terms.

The Service may connect with third-party services such as Google, Gmail, Slack, or other providers. Your use of those services is also governed by their own terms and privacy policies.

We are not responsible for third-party services, their availability, or changes they make. You may disconnect an integration at any time, although doing so may limit related Onya features.

If you purchase a paid plan or service, you agree to pay the fees and applicable taxes disclosed when you order. Unless otherwise stated, subscription fees are billed in advance and renew for the selected billing period until cancelled.

Except where required by law or expressly stated otherwise, fees already paid are non-refundable. We may change future pricing by giving reasonable notice before the change applies.

We aim to provide a reliable Service, but access may occasionally be interrupted for maintenance, updates, security events, third-party outages, or circumstances beyond our control. We do not promise uninterrupted or error-free operation.

Preview, beta, or experimental features may be changed or withdrawn at any time and may be less reliable than generally available features.

Some Onya features may use artificial intelligence to generate summaries, suggestions, classifications, or other output. AI-generated output may be incomplete, inaccurate, or unsuitable for your circumstances.

You are responsible for reviewing output before relying on it or using it to make business, financial, legal, employment, or other important decisions. Onya does not provide professional advice.

Onya and its licensors retain all rights in the Service, including its software, design, branding, documentation, and other materials, excluding User Content.

If you provide suggestions or feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only to perform obligations or exercise rights under these Terms.

This obligation does not apply to information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

You may stop using the Service at any time. You may cancel a paid subscription according to the cancellation process available for your account.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay applicable fees, or misuse the Service. Where reasonably possible, we will provide notice and an opportunity to remedy the issue.

On termination, your right to use the Service ends. Provisions that by their nature should survive termination will continue, including ownership, confidentiality, disclaimers, liability limits, and dispute provisions.

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes any guarantee, warranty, condition, or right that cannot lawfully be excluded.

To the maximum extent permitted by law, Onya will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, business, goodwill, opportunities, or data arising from or related to the Service.

To the maximum extent permitted by law, Onya's total liability for claims relating to the Service will not exceed the greater of the amount you paid Onya for the Service during the 12 months before the event giving rise to the claim or AUD $100.

These limitations do not apply where liability cannot lawfully be limited or excluded.

To the extent permitted by law, you agree to indemnify Onya against third-party claims, losses, and reasonable costs arising from your unlawful use of the Service, your User Content, or your material breach of these Terms.

These Terms are governed by the laws that apply in the jurisdiction where Onya's operator is established, without regard to conflict-of-law principles.

Before starting formal proceedings, you agree to contact us and attempt to resolve the dispute in good faith. If the dispute is not resolved, it may be brought before a court of competent jurisdiction. Nothing in this section limits rights you may have under mandatory consumer law.

We may update these Terms from time to time. We will provide reasonable notice of material changes by updating the "Last Updated" date, posting a notice in the Service, or using another reasonable method.

Your continued use of the Service after updated Terms take effect means you accept them. If you do not agree to an update, you must stop using the Service.

If any provision is found unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganisation, merger, acquisition, or transfer of the Service.

These Terms and the Privacy Policy form the entire agreement between you and Onya concerning the Service, unless a separate written agreement applies.
